A personal service corporation is a business in which a licensed professional provides personal services, such as legal counsel, health care, accounting or consulting. A personal service corporation can help protect the professional from business-related debt and other financial issues that may arise in the course of business. Forming a corporation is fairly simple and can be done in a few steps.
Draft a set of bylaws for your shareholders and company members. The guidelines will provide operating instructions for the company and requirements for shareholders and officers. Bylaws can be drafted by attorneys, or sample forms can be found online or at your secretary of state's office.
Draft your articles of incorporation. An attorney can draft a set of articles for you, or you can use a fill-in form from an online vendor. Some secretary of state's websites also offer sample forms of corporate documents.
Register for your state tax. Contact your state's proper business tax entity for requirements on filing state corporation taxes. Complete and file the forms, along with the required filing fee.
Choose a name for your personal service corporation. Select a unique and interesting name, but also one that reflects well on the services you offer. Check name availability with your state secretary of state's office. Most secretary of state websites will have a search form where you can search name availability and make sure your name does not infringe on those of other corporations.
File the articles of incorporation in the state where you wish to incorporate in. Check with the state court to find the proper filing procedures and fees. You will usually be required to submit several copies.
Obtain an Employer Identification Number (EIN) from the IRS. Complete Form SS-4, which can be filed with the IRS electronically, by fax or by phone. Information can be found at the IRS's website.
