Statutory agents are third-party individuals or business entities that are appointed by a corporation or limited liability company (LLC) to be the party responsible for delivering documents to the company, most frequently forms associated with service of process (SOP.)
- The statutory agents are required to have a legal business address (as opposed to a P.O. box) in the state where the company conducts business to ease the delivery of documents. Also called resident agents, they stay up to date with due dates and regulation changes specific to the state where they operate.
- The statutory agent receives the documents and this completes SOP in legal terms. It is then the role of the agent to deliver it to the appropriate person in the company and communicate that they have been served a request to appear in court or perform some follow-up action.
- Statutory agents also have the duty of receiving all state government forms related to taxes, including annual report forms.
- Many businesses appoint lawyers or law firms as their statutory agents so that further duties include some degree of legal counsel as related to the delivered documents.
- Upon being appointed the statutory agent, the chosen party must file forms with the Secretary of State listing their legal business address.
